Berliet Nig v. Francis
Mr. Francis, the Benin branch manager received letter from the Managing Director in Lagos that 10% of the company’s shares will be owned by workers and they should come and buy. Mr. Franics applied for N2,500 per share and issued the receipt for N5,000. The shares were not given and he brought an action against the company for breach of contract. The High Court ruled in his favour but on appeal to the Court of Appeal, the decision was reversed as it was held that the Managing Director’s letter was not an offer but an invitation to treat and the payment of N5,000 was an offer which the company could either accept or reject.
